By installing or using this software (hereinafter "the Software"), you agree to be bound by the terms and conditions of this Agreement.

[A] Grant of License and Intellectual Property
1. Grant of License
The Developer grants you a non-exclusive, personal, non-transferable license to use the Software for both personal and professional commercial productions. You are permitted to use the Software for performance, recording, and music production purposes.

2. Intellectual Property Rights and Restrictions
All copyrights and intellectual property rights concerning the Software, including its binary (compiled executable file) and User Interface (UI), belong to the Developer. You shall not reverse engineer, decompile, or sell the binary of the Software. Unauthorized commercial redistribution is strictly prohibited.

3. Third-Party Technology Attributions
This Software utilizes the following third-party technologies:

JUCE: JUCE is a product of JUCE Software Ltd. Used under license.

Cmajor: This Software uses Cmajor audio language and runtime technology, managed under the relevant commercial license.

VST: VST is a trademark of Steinberg Media Technologies GmbH.

AAX / Pro Tools: AAX and Pro Tools are trademarks or registered trademarks of Avid Technology, Inc. or its subsidiaries in the United States and/or other countries.

[B] Disclaimer and Governing Law

4. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE (INCLUDING DATA LOSS, PC MALFUNCTION, LOSS OF PROFITS, OR ANY DISRUPTIONS AND DAMAGES CAUSED BY THIRD-PARTY LICENSE MANAGEMENT SYSTEMS).

5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Japan.
